Welcome to QMS Consultants LLC. By accessing our website or engaging our consulting and audit services, you agree to the following terms and conditions.



1. Scope of Services

QMS Consultants LLC provides Quality Management Systems (QMS) consulting, training, and internal auditing under three engagement tiers: We Teach, We Help, and We Do.



* Consulting vs. Certification: We provide the expertise to help you meet ISO 9001 requirements. However, we are not a Certification Body (CB) or Registrar. The final decision to grant certification rests solely with your chosen accredited third-party registrar.



2. Professional Liability & "No Guarantee" Clause

  • Audit Outcomes: While we utilize industry-standard practices and ISO 19011 guidelines to prepare your firm, we cannot guarantee that a client will pass a third-party certification audit.

  • Implementation: The effectiveness of a QMS depends heavily on the client’s management commitment and day-to-day adherence to documented processes. QMS Consultants LLC is not liable for non-conformances identified by registrars or for business losses resulting from a failed audit.

3. Client Responsibilities

For us to provide effective service, the Client agrees to:

  • Provide truthful and complete information regarding current processes.

  • Ensure necessary staff are available for training and interviews.

  • Provide access to relevant documentation and facilities (for audit services).

4. Confidentiality & Intellectual Property

  • Mutual Confidentiality: We treat all client proprietary processes, financial data, and trade secrets as strictly confidential.

  • Work Product: Any templates or training materials provided are licensed to the Client for internal use only. Redistribution or resale of our proprietary QMS frameworks is strictly prohibited.

5. Fees and Payments

  • Service fees are outlined in individual Statements of Work (SOW).

  • Cancellations for scheduled audits or on-site training must be made 14 days in advance to avoid a cancellation fee.

6. Limitation of Liability

To the maximum extent permitted by law, QMS Consultants LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising out of or in connection with our consulting services. Our total liability shall not exceed the total fees paid by the Client for the specific service in question.



7. Governing Law

These terms are governed by the laws of the State of Arizona.
